GENERAL TERMS AND CONDITIONS

These terms and conditions apply to every quotation and/or agreement between Monique Awater-Friebel, owner of Quest 4 Words, Language Services, and a client to whom these terms and conditions have been declared applicable. Agreements that deviate from or supplement these general terms and conditions are only valid if they have been laid down in writing. These terms and conditions also apply to all agreements with Monique Awater-Friebel, the execution of which requires the involvement of third parties.

 

Quotations and prices

All quotations and price estimates provided by Monique Awater-Friebel are without obligation and are drawn up in accordance with the rates applicable at Quest 4 Words at that time. These are determined on the basis of an hourly rate, unless otherwise agreed in writing. Payment terms, including advance payments, are stated in the quotation. All quotations and price estimates are exclusive of VAT, unless expressly stated otherwise.

 

Additional work

All quotations only include the activities as described. The rates quoted are basic rates. Additional work due to changes, for example additional corrections or requests by the customer or additional words, will be charged extra.

Additional work also includes texts that are difficult to read or contain many errors, complex sentence structures, a number of “difficult” words, extensive layout adjustments, but also preparatory cutting and pasting work when the source document is not supplied in Word.

The expected number of hours is based on: an estimate and past experience, as well as the number of words, type of text, layout and the degree of difficulty of the text. If the number of hours is exceeded, this will be discussed with the client in advance and as soon as possible.

 

Conclusion of agreement

The agreement is concluded by the client's written acceptance of Monique Awater-Friebel's quotation or, if no quotation has been issued, by Monique Awater-Friebel's written confirmation of an assignment given by the client. Confirmation by email is also valid.

Changes to the assignment after the agreement has been concluded will be confirmed to the client in writing or by email after acceptance by Monique Awater-Friebel.

 

Withdrawal of assignment

If an assignment is withdrawn by the client, the client will owe payment for the part of the assignment that has already been carried out, as well as compensation based on an hourly rate for research work already carried out for the remaining part.
 

Execution of assignments, confidentiality

All assignments will be carried out by Monique Awater-Friebel to the best of her knowledge and ability and with professional expertise. The information provided by the client will be treated as strictly confidential.

Unless expressly agreed otherwise, Monique Awater-Friebel has the right to have an assignment carried out (in part) by a third party, but remains responsible at all times for the confidential treatment and proper execution of the assignment. Monique Awater-Friebel will oblige the third party in question to maintain confidentiality.

Upon request, the client will provide substantive information about the text, documentation and terminology used. The dispatch of this information is not the responsibility of and/or at the expense of Monique Awater-Friebel.

Monique Awater-Friebel is not liable for damage caused by inaccuracy or incompleteness of the information provided by the client.

 

Ownership of material

Unless expressly stated otherwise in writing, all texts and other material written and/or compiled by Monique Awater-Friebel are the property of Quest 4 Words, Language Services.

Translations, edited and written texts commissioned by the client remain the property of Quest 4 Words, Language Services until full payment has been received. Until that time, the client has no right of use.
 

The client indemnifies Monique Awater-Friebel against any claims from third parties for alleged infringement of property rights, patent rights, copyrights or other intellectual property rights in connection with the performance of the agreement.

 

Delivery

Unless expressly agreed otherwise in writing, the agreed delivery period is a target period. If this period is exceeded, this will be discussed with the client in advance and as soon as possible.

In the event of an attributable exceeding of the agreed term, the client is entitled to unilaterally terminate the agreement if it is no longer reasonable to wait for performance. In that case, Monique Awater-Friebel is not obliged to pay any compensation.

In the event of an overrun due to force majeure, foreseen or unforeseen, over which Monique Awater-Friebel has no influence, but which also prevents her from fulfilling her obligations, Monique Awater-Friebel is entitled to invoice the work already performed separately.

Invoices and expense claims

Invoices and expense claims

must be paid within 15 days of the invoice date in the currency in which it is denominated. After the expiry of the 15-day period, the client will be in default immediately and without further notice of default, in which case the client will owe statutory interest on the invoice amount from the date of default until the date of full payment.

 

Amendment of the General Terms and Conditions

Monique Awater-Friebel is entitled to amend the General Terms and Conditions at any time without further notice, but will always ensure that the correct version of the General Terms and Conditions is provided. The General Terms and Conditions will be sent as an appendix to every quotation.

These terms and conditions are written in Dutch with a translation in English. In case of any conflict in the meaning or interpretation of these terms and conditions, the Dutch version shall prevail.
